Terms of Service — ConveyCRM

These Terms of Service (“Terms”) govern your access to and use of ConveyCRM (the “Service”) provided by ConveyCRM (“we,” “us”). By creating an account or using the Service, you agree to these Terms.

Accounts

You must provide accurate registration information and keep it current. You are responsible for safeguarding your password and for all activity that occurs under your account. Notify us immediately of any unauthorized use.

Your data

You retain all rights to the data you and your team submit to the Service (“Customer Data”). You grant us a limited license to host, process, and display Customer Data solely to provide the Service to you.

You are responsible for the legality of Customer Data and for obtaining any consents required to upload personal information about third parties — including individuals tracked via our web visit snippet.

Acceptable use

You agree not to:

Use the Service to violate any law or infringe any third-party right.
Send spam, unsolicited bulk messages, or harassing communications.
Reverse engineer, scrape, or attempt to bypass rate limits or access controls.
Resell or sublicense the Service without our written consent.
Upload malicious code or content that infringes intellectual property rights.

Subscriptions and billing

Paid plans are billed in advance on a recurring basis through Stripe. Fees are non-refundable except as required by law or explicitly stated by us. You may cancel at any time; cancellation takes effect at the end of the current billing period.

We may change pricing with at least 30 days' notice. Continued use after the effective date constitutes acceptance of the new pricing.

Trial

New tenants may receive a free trial. We may modify or end trial offerings at any time. At the end of the trial, you must enter a paid plan or your workspace will be deactivated.

Termination

We may suspend or terminate your account if you breach these Terms or if continued service would expose us to legal or security risk. You may terminate your account at any time from billing settings.

Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR AGGREGATE LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM. WE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES.

Indemnification

You agree to indemnify and hold us harmless from any claim, loss, or expense arising from your Customer Data, your use of the Service in violation of these Terms, or your violation of any law or third-party right.

Governing law

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law principles. Disputes will be resolved in the state or federal courts located in Delaware.

Changes to these Terms

We may update these Terms from time to time. Material changes will be communicated by email or in-app notice. Continued use after the effective date constitutes acceptance.
